Terms of Service

These Terms of Service ("Terms") govern your use of the DevDesigneer website at https://devdesigneer.com and any design, development, or digital services ("Services") provided by DevDesigneer, a vertical of OMCL India ("we", "us", or "our"). By accessing our website or engaging our Services, you agree to these Terms.

1. Services We Provide

DevDesigneer offers the following professional services:

  • Website design and development (landing pages, multi-page sites, web applications)
  • Mobile app design and development (iOS, Android, cross-platform)
  • UI/UX design and prototyping
  • SEO and analytics optimization
  • Hosting, deployment, and infrastructure setup
  • Ongoing maintenance, updates, and technical support

The specific scope of work for each engagement will be defined in a separate project proposal or statement of work ("Project Agreement"), which forms part of these Terms once accepted by both parties.

2. Consultation and Project Initiation

We offer a free 15-minute initial consultation to understand your project requirements. This consultation does not create any obligation for either party.

Following the consultation, we will provide a detailed Project Agreement outlining:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment schedule
  • Number of revision rounds included
  • Support period and terms

Work will commence only after mutual written agreement (including email acceptance) on the Project Agreement and receipt of the agreed-upon initial payment.

3. Packages and Pricing

We offer three standard packages — Starter, Professional, and Enterprise — as outlined on our website. These serve as starting points; final pricing is determined based on your specific requirements and confirmed in the Project Agreement.

All prices quoted are exclusive of applicable taxes (GST/VAT) unless stated otherwise. For international clients, pricing will be in USD or INR as mutually agreed.

4. Payment Terms

Unless otherwise specified in the Project Agreement, the following payment structure applies:

  • Advance payment: A non-refundable advance (typically 30-50% of the project total) is due before work begins.
  • Milestone payments: For larger projects, payments may be structured around agreed milestones (e.g., design approval, development completion).
  • Final payment: The remaining balance is due upon delivery of the final product, before handover of source code and deployment credentials.

Invoices are payable within 7 days of issuance unless otherwise agreed. Late payments (beyond 15 days) may result in project suspension until the outstanding amount is cleared. We reserve the right to charge a late fee of 1.5% per month on overdue amounts.

5. Revisions and Change Requests

Each package includes a specified number of revision rounds as detailed in the Project Agreement:

  • Starter: 2 rounds of revisions
  • Professional: Revisions as specified in the Project Agreement
  • Enterprise: Revisions as specified in the Project Agreement

A "revision round" consists of a consolidated set of feedback provided at one time. Additional revisions or changes outside the original scope ("scope creep") will be quoted separately and require written approval before implementation.

6. Intellectual Property

a) Client Ownership

Upon receipt of full payment, the client receives full ownership of the final deliverables as specified in the Project Agreement. This includes custom designs, frontend and backend code developed specifically for the project, and any content created for the client.

b) Our Rights

  • Portfolio rights: We retain the right to showcase the completed work in our portfolio, case studies, and marketing materials, unless otherwise agreed upon in writing.
  • Reusable components: Generic tools, libraries, templates, or code patterns developed during the project that are not specific to the client's business remain our intellectual property and may be reused in other projects.

c) Third-Party Assets

Open-source libraries, third-party plugins, stock images, or fonts used in the project remain subject to their respective licences. We will inform you of any such dependencies and their licence terms.

7. Post-Launch Support

All packages include a post-launch support period as specified in the Project Agreement:

  • Starter: 1 month of bug-fix support
  • Professional: 3 months of support including bug fixes and minor adjustments
  • Enterprise: 12 months of priority support including bug fixes, security patches, and performance monitoring

Support covers fixing defects in the delivered work. New features, design changes, or significant enhancements are outside the support scope and will be quoted as separate engagements.

8. Client Responsibilities

To ensure timely and successful project delivery, the client agrees to:

  • Provide all required content, assets, branding materials, and access credentials in a timely manner.
  • Review and provide feedback on deliverables within the agreed timeframe (typically 5 business days per review cycle).
  • Designate a single point of contact for project communications.
  • Ensure that all materials provided do not infringe on third-party intellectual property rights.

Delays in providing materials or feedback may extend the project timeline accordingly.

9. Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information shared during the course of the project. This includes but is not limited to: business strategies, unreleased product features, API keys, database credentials, and financial information.

This confidentiality obligation survives the termination of the Project Agreement and remains in effect for a period of 2 years following project completion, unless a longer period is specified in the Project Agreement.

10. Project Cancellation and Refunds

  • Cancellation by client: If you cancel a project after work has begun, you are responsible for payment of all work completed up to the date of cancellation. The initial advance is non-refundable.
  • Cancellation by us: If we are unable to continue a project, we will provide reasonable notice, deliver all work completed to date, and refund any payments for undelivered milestones.
  • Inactive projects: If a project becomes inactive for more than 30 days due to client non-responsiveness, we reserve the right to close the project. Restarting an inactive project may require a new agreement and additional fees.

11. Limitation of Liability

To the maximum extent permitted by law:

  • DevDesigneer shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from or related to our Services.
  • Our total aggregate liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.
  • We are not liable for delays or failures caused by circumstances beyond our reasonable control (force majeure), including natural disasters, internet outages, third-party service failures, or government actions.

12. Warranties

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. The deliverables will substantially conform to the specifications agreed upon in the Project Agreement.

Beyond this, our Services are provided "as is" without any other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. We do not guarantee specific business outcomes such as traffic increases, revenue growth, or search engine rankings.

13. Website Terms of Use

When using our website, you agree not to:

  • Use the website for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorised access to any part of the website or its systems.
  • Reproduce, distribute, or modify any content from the website without our written permission.
  • Use automated tools to scrape or extract data from the website.

All content on our website, including text, images, designs, and code, is the intellectual property of DevDesigneer or its licensors and is protected by applicable copyright and trademark laws.

14. Dispute Resolution

In the event of any dispute arising from these Terms or any Project Agreement, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be subject to the exclusive jurisdiction of the courts in India.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. For active project clients, we will notify you of any material changes via email. Continued use of our website or Services after changes constitutes acceptance of the updated Terms.
